These Terms & Conditions (“Terms”) govern your use of our services, website, products, and any associated interactions. By engaging with Dellustria, you (“Client”, “you”, or “your”) agree to be bound by these Terms.
Definitions
Deliverables: Includes website design, development, branding, UI/UX design, consulting, and any related deliverables.
Deliverables: Final outputs provided to the Client including websites, designs, assets, files, or documentation.
Agreement: Any signed contract, proposal, invoice, or written confirmation referencing these Terms.
Confidential Information: Any non-public business, financial, or technical information shared between parties.
Scopes of Service
2.1 Dellustria will provide services as outlined in a mutually agreed proposal, contract, or invoice.
2.2 Any work requested outside the defined scope will be treated as additional work and billed separately.
2.3 We reserve the right to decline projects that conflict with our ethical, legal, or creative standards.
Client Responsibilities
You agree to:
Provide accurate, complete, and timely information.
Supply all necessary content (text, images, credentials, etc.) before project initiation unless otherwise agreed.
Review and provide feedback within agreed timelines.
Ensure that all materials provided do not infringe on third-party rights.
Delays in client responses may impact delivery timelines and may incur additional charges.
Pricing and Payment Terms
4.1 All pricing is quoted in INR unless otherwise specified.
4.2 A non-refundable advance (typically 30%–50%) is required before work begins.
4.3 Remaining payments must be made as per milestones or before final delivery.
4.4 Late payments may result in:
Project suspension
Delay in delivery
Late fees (up to 2% per month or as legally permissible)
4.5 All payments are non-refundable once work has commenced.
Subscription Services (If Applicable)
5.1 Monthly or retainer-based services are billed in advance.
5.2 Unused service hours do not roll over unless explicitly agreed.
5.3 Subscription cancellations require a minimum of 7 days’ written notice before the next billing cycle.
5.4 Dellustria reserves the right to revise subscription pricing with prior notice.
Project Timelines
6.1 Estimated timelines are indicative and depend on client responsiveness.
6.2 Delays caused by the Client may result in rescheduling or additional fees.
6.3 Urgent or expedited requests may incur priority charges.
Revisions and Approvals
7.1 Each project includes a defined number of revision rounds (as per proposal).
7.2 Additional revisions will be charged separately.
7.3 Once final approval is given, any further changes will be treated as a new request.
Intellectual Property Rights
8.1 Upon full payment, the Client receives ownership of final Deliverables unless otherwise stated.
8.2 Dellustria retains the right to:
Showcase work in portfolios, marketing, and case studies
Use non-confidential elements for promotional purposes
8.3 All preliminary concepts, drafts, and unused designs remain the property of Dellustria.
8.4 Third-party assets (fonts, plugins, stock media) may be subject to their own licenses.
Third-Party Tools and Platforms
9.1 Projects may involve tools such as website builders, hosting providers, or software platforms.
9.2 The Client is responsible for maintaining subscriptions and licenses unless otherwise agreed.
9.3 Dellustria is not liable for outages, policy changes, or limitations imposed by third-party services.
Confidentiality
10.1 Both parties agree to keep confidential information secure and not disclose it to third parties.
10.2 This obligation continues even after project completion.
10.3 Exceptions include disclosures required by law.
Warranties and Disclaimers
11.1 Dellustria provides services on a “best effort” basis.
11.2 We do not guarantee:
Specific business outcomes or revenue results
Search engine rankings
Continuous uptime of websites
11.3 All services are provided “as is” without warranties of any kind, unless explicitly stated.
Limitation of Liability
We strive to ensure that our website remains accessible, accurate, and free of disruption However, we cannot guarantee that all information will always be error-free, up to date, or uninterrupted. The website and its contents are provided “as is” without warranties of any kind.
12.1 Dellustria shall not be liable for:
Indirect, incidental, or consequential damages
Loss of profits, data, or business opportunities
12.2 Our total liability shall not exceed the total amount paid by the Client for the specific project.
Termination
13.1 Either party may terminate the agreement with written notice.
13.2 In case of termination:
The Client must pay for all work completed up to the termination date
Any advance payments are non-refundable
13.3 Dellustria reserves the right to terminate services if:
The Client violates these Terms
There is abusive, unethical, or unlawful behavior
Refund Policy
14.1 Due to the customized nature of services, refunds are not provided once work has started.
14.2 In exceptional cases, partial refunds may be considered at our sole discretion.
Indemnification
You agree to indemnify and hold Dellustria harmless from any claims, damages, or legal actions arising from:
Content provided by you
Misuse of deliverables
Violation of laws or third-party rights
Force Majeure
Dellustria shall not be held liable for delays or failure due to events beyond our control, including but not limited to:
Natural disasters
Government restrictions
Internet or power outages
Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of courts located in Kolkata, India.
Amendments
Dellustria reserves the right to update these Terms at any time. Continued use of our services implies acceptance of the updated Terms.
Acceptance of Terms
By accessing or using our website, you confirm that you understand and to be bound by these Terms of Use. This agreement applies to all visitors, client, collaborators, and user of our sites, regardless of whether your interactions is casual browsing, researching our services, engaging with us on a project.
